OVERVIEW

Welcome to CronicX! The terms "we", "us" and "our" refer to CronicX. CronicX operates this online store and website, including all related information, content, features, tools, products, and services in order to provide you, the customer, with a curated shopping experience (the "Services"). CronicX is powered by Shopify, which enables us to provide the Services to you.

The below terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms") describe your rights and responsibilities when you use the Services.

Please read these Terms of Service carefully. By visiting, interacting with, or purchasing from our website, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you must immediately cease using or accessing our Services.

SECTION 1 - ACCESS AND ACCOUNT

By agreeing to these Terms of Service, you represent that you are at least 18 years of age (the legal age of majority in South Africa), or that you are the parent or legal guardian of any minor dependent using this site under your supervision.

To complete a purchase or access certain features, you may be asked to provide information such as your email address, billing, payment, and delivery details. You warrant that all information you provide is correct, current, and complete. You are solely responsible for maintaining the security of your account credentials and for all activities that occur under your account.

SECTION 2 - OUR PRODUCTS AND ACCURACY

We make every effort to display the colours, textures, and images of our products as accurately as possible. However, we cannot guarantee that your device’s screen display will perfectly reflect the actual colour or appearance of the product.

All descriptions of products and product pricing are subject to change at any time without notice, at our sole discretion. We reserve the right to discontinue any product at any time or limit sales to any person, geographic region, or province on a case-by-case basis, subject to applicable South African consumer laws.

SECTION 3 - ORDERS AND CONTRACT FORMATION

When you place an order on our website, you are making an offer to purchase. CronicX reserves the right to accept or decline your order for valid operational reasons (such as stock unavailability or pricing errors).

Your order is only deemed accepted once we dispatch the product and send you a shipping confirmation. If we cancel or modify an order, we will notify you using the contact details provided at checkout and process an immediate refund where applicable.

By placing an order, you represent and warrant that your purchases are for personal or household use and not for unauthorized commercial resale or export.

SECTION 4 - PRICES, TAXES, AND BILLING

VAT: In accordance with South African tax law, all prices displayed on our online store are inclusive of Value Added Tax (VAT) at the current statutory rate, unless explicitly stated otherwise.
Exclusions: Posted prices exclude delivery charges, which will be calculated and added at checkout.
Payment: You agree to provide current, complete, and accurate payment details. You warrant that you are authorized to use the credit/debit card or alternative payment method (e.g., Instant EFT, PayFlex) chosen for the transaction.

SECTION 5 - SHIPPING AND DELIVERY

While we strive to meet all estimated delivery timelines, transit times are guidelines provided by our third-party courier partners and are not strictly guaranteed.

In terms of Section 19 of the CPA, risk of loss, damage, or destruction of the goods passes to you upon physical delivery of the package to you or your designated recipient at the provided South African delivery address.

SECTION 6 - INTELLECTUAL PROPERTY

Our Services, including all logos, text, graphics, images, product descriptions, website layouts, and code, are owned by or licensed to CronicX and are protected by the Trade Marks Act 194 of 1993, the Copyright Act 98 of 1978, and other applicable South African and international intellectual property laws. Any unauthorized reproduction, modification, or distribution of our content is strictly prohibited.

SECTION 7 - OPTIONAL THIRD-PARTY TOOLS

We may provide you with access to third-party tools (such as payment gateways or size calculators) which we do not monitor or control. You acknowledge that we provide access to such tools "as is" and "as available" without any warranties. Your use of these optional tools is entirely at your own risk and subject to the respective third-party provider's terms.

SECTION 8 - THIRD-PARTY LINKS

Certain content or products available via our Services may include materials from third parties or hyperlinks to external websites. We are not responsible for examining the content or accuracy of third-party websites and will not be liable for any damages or transactions concluded on third-party domains.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

CronicX is an independent merchant hosted on the Shopify e-commerce platform. You acknowledge and agree that your contract of sale is exclusively with CronicX. Shopify is not a party to the transaction and bears no liability for any consumer claims, product defects, or delivery failures.

SECTION 10 - PRIVACY AND DATA PROTECTION (POPIA)

Your privacy is important to us. Any personal information collected through our website is processed strictly in accordance with the Protection of Personal Information Act, 4 of 2013 (POPIA) and our Privacy Policy.

Because our store is hosted by Shopify, your data may be securely transferred, stored, and processed outside of South Africa. By using our Services, you consent to this cross-border transfer of data necessary to fulfill your order and optimize website security.

SECTION 11 - CUSTOMER FEEDBACK AND REVIEWS

If you submit product reviews, feedback, or suggestions ("Feedback"), you grant us an unrestricted, royalty-free license to use, edit, copy, and publish your feedback for promotional or analytical purposes. We reserve the right to remove any feedback that we deem to be unlawful, defamatory, abusive, or in violation of third-party intellectual property rights.

SECTION 12 - ERRORS, INACCURACIES, AND OMISSIONS

On rare occasions, information on our site may contain typographical errors, inaccuracies, or omissions regarding product descriptions, pricing, stock availability, or shipping charges.

Subject to the CPA and ECTA, if an item is inadvertently mispriced at a value that is an obvious and gross error, we are not bound to supply the item at that incorrect price. We reserve the right to correct the error and cancel the affected order, providing you with a full refund.

14.1 This section applies if you use or deploy any autonomous software, crawler, or AI agent ("Agent") to interact with our store. 14.2 No Agent may access or interact with our Services unless it clearly identifies itself in the HTTP/HTTPS request header using the format Agent/[Agent Name]. 14.3 You may not use Agents to circumvent security features, bypass robot exclusion headers, or disguise automated traffic as human behavior (such as bypassing CAPTCHAs). We reserve the right to block any automated traffic that compromises site performance.

SECTION 15 - LIMITATION OF LIABILITY AND WARRANTY DISCLAIMER

This section does not limit or exclude your statutory consumer rights under Section 55 and 56 of the CPA regarding safe, good-quality goods.

Subject to the above, CronicX does not guarantee that your use of our online service will be completely uninterrupted, secure, or error-free. To the maximum extent permitted by South African law, CronicX, our directors, employees, and service providers shall not be liable for any direct, indirect, incidental, or consequential damages or lost profits arising out of your use of the website or products purchased, save for instances of gross negligence or intentional wrongdoing.

SECTION 16 - INDEMNIFICATION

You agree to indemnify and hold harmless CronicX, Shopify, and our affiliates from any third-party claims, liabilities, damages, or costs (including reasonable legal fees on an attorney-and-own-client scale) arising out of your breach of these Terms of Service or your violation of any South African law or third-party rights.

SECTION 17 - SEVERABILITY

If any provision of these Terms of Service is determined by a South African court to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by law, and the unenforceable portion shall be deemed severed from these Terms without affecting the validity of the remaining provisions.

SECTION 18 - GOVERNING LAW AND JURISDICTION

These Terms of Service, our relationship, and any dispute arising from your use of the website or purchases shall be governed by and construed in accordance with the laws of the Republic of South Africa. You consent to the non-exclusive jurisdiction of the High Court of South Africa in respect of any disputes.
